TERMS OF USE

We, at Home Interior Designs E-Commerce Private Limited and its affiliates (hereinafter referred to as “Company” or “HID”) are engaged in the business of providing modular furniture solutions (“Services”) under the trade name Casantro (“Casantro”, “we, “our” or “us”) to the interior design firms, architects and/or any business entity (“User”, “you” and “your”). 

These terms of use, together with any and all other documents referred to herein, set out the terms of use under which you may use access and browse this website https://casantro.com/ or any other platform provided by Casantro (“Platform”) and these terms of use shall be read alongside our privacy policy available at https://casantro/policies/privacy-policy and other terms and conditions and policies including but not limited to User do’s and don'ts , quality promise, cancellation policy, return, exchange and  refund policy and payment policy (“Policies”) which you may find throughout our website in connection with our Services. Your agreement to comply with and be bound by these terms of use is deemed to occur upon your first use of this website (collectively, “Terms of Use”). In order to browse and use this Platform, we request you to carefully read and accept all of these Terms of Use before continuing to use this Platform. In the event you do not agree to abide by these Terms of Use, we request you to immediately cease your usage of the Platform.

We own the Platform and possess absolute license to use, free of any pending or threatened liens, all content, graphics, HTML, common gateway interface or other scripts displayed on the Platform. It is clarified that our Platform, including all content thereon, is the sole property of HID and/or Casantro and is copyrighted and protected under the applicable laws. You are hereby requested to comply with all the copyrighted laws in your use of this Platform and to prevent any unauthorized use or infringement of any content thereon. 

1. LICENSE TO USE

Casantro grants you a non-exclusive, non-commercial, non-transferable, limited use of right to access, and use the content on the Platform, the materials thereon and/or the Services. You agree not to interrupt or attempt to interrupt the operation of the Platform in any manner.  

2. ELIGIBILITY

2.1 By using this Platform, you acknowledge and confirm that you are at least 18 years of age or older, and if you are under 18 years of age (i.e., “a minor”), your usage of the Platform shall be subject to the consent, supervision and moderation by a parent or a legal guardian. If HID and/or Casantro has previously prohibited you from accessing or using the Platform, you are not permitted to access or use the same. We shall not be liable for any unauthorized use and/or access of the Platform and/or Services. 

2.2 For transparency and fraud prevention purposes, and to the extent permitted by law, we reserve the right, but have no obligation, to (i) ask Users to provide a form of government identification or other information or undertake additional checks designed to help verify the identity or background of Users, and (ii) screen Users against third party databases or other sources.

3. SYSTEM REQUIREMENTS

Use of the Platform and Services requires one or more compatible devices, internet access (fees may apply), and may require obtaining updates or upgrades from time to time. Due to the fact that use of the Platform and Services involves hardware, software and internet access, your ability to access and use the Platform and Services may be affected by the performance of these factors. High speed internet access is recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility.

4. RESPONSIBLE USE AND CONDUCT

4.1 You must comply with the laws that apply to you in the location from which you access Casantro’s Services. By visiting the Platform and accessing the information, resources, Services, products and tools we provide for you, either directly or indirectly, you agree to use the above-mentioned resources only for the purposes intended as permitted by a) these Terms of Use, and b) applicable laws, regulations and generally accepted online practices or guidelines.

4.2 Notwithstanding anything under these Terms of Use, you understand that:

• In order to access our Services, you may be required to provide certain information about yourself (contact details) as part of the registration process, or as part of your ability to use the Services. You agree that any information you provide will always be accurate, correct, and up to date.

• You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Services. Accordingly, you are responsible for all activities that occur under your account.

• Accessing (or attempting to access) any of our Services by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Services through any automated, unethical or unconventional means.

• Engaging in any activity that disrupts or interferes with our Platform and/or Services, including the servers and/or networks, is strictly prohibited.

• Attempting to copy, duplicate, reproduce, sell, trade, or resell our Platform and/or Casantro’s content thereon is strictly prohibited.

• You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

4.3 By posting information or otherwise using any open communication tool on our Platform, you agree that you will not, for any reason whatsoever upload, post, share, or otherwise distribute any content that: 

• is sexually explicit, obscene, deliberately offensive, hateful or otherwise inflammatory;

• promotes violence,

• promotes or assists in any form of unlawful activity;

• discriminates against, or is in any way defamatory of, any person, group or class of persons, race, gender, religion, nationality, disability, sexual orientation, or age;

• is intended or is otherwise likely to threaten, harass, annoy, alarm, inconvenience, upset, or embarrass another person;

• calculated or is otherwise likely to deceive another person;

• is intended or is otherwise likely to infringe (or to threaten to infringe) another person’s privacy;

• misleadingly impersonates any person or otherwise misrepresents the identity or affiliation of a particular person in a way that is calculated to deceive (obvious parodies are not included in this definition provided that they do not fall within any of the other provisions of this sub-clause);

• implies any form of affiliation with us where none exists;

• infringes, or assists in the infringement of, the intellectual property rights (including, but not limited to, copyright, trademarks and database rights) of any other party; or

• made in breach of any legal duty owed to a third party including, but not limited to, contractual duties and duties of confidence.

            In addition to the foregoing, you agree and undertake not to:

• Hack, attempt to hack, modify, adapt, merge, translate, decompile, disassemble, reverse engineer or create derivative works out of the Platform and/ or the Services or any part of thereof (save to the extent which expressly cannot be prohibited in accordance with the applicable mandatory law in your jurisdiction);

• Remove, disable, modify, add to or tamper with any program code or data, copyright, trademark or other proprietary notices and legends contained on or in the Services and/or the Platform;

• Create a software which mimics any data or functionality in the Platform and/or the Services;

• Use and/or otherwise deal in the Platform and/or the Services except as permitted by these Terms of Use;

• Use your access to the Platform and/or the Services, or information gathered from it, for the sending of unsolicited bulk email;

• Provide hypertext links, URL links, graphic links, hyperlinks or other direct connection for profit or gain to the Platform and/or the Service without prior written permission of HID;

• Make the Platform and/or the Services or any part of it available to any third party (please note this does not stop you from fairly and honestly providing links to the website, or showing either to other people);

• Delete or obscure any copyright or other proprietary notice on the Platform and/or the Services.

4.4 The Platform may only be accessed and used via authorized servers. You must take no action to bypass authorized servers and/ or use third party software to modify any aspect of the Platform, whether for the purpose of securing an unfair advantage over other users, and you expressly consent to HID monitoring your computer’s random-access memory for the purpose of identifying said unauthorized third-party programs.

 5. INTELLECTUAL PROPERTY RIGHTS 

5.1 Casantro and/or HID retain all rights (including copyrights, trademarks, patents, designs, website designs, blogs, logos, trade-dress, trade-secrets, know-how as well as any other intellectual property right) in relation to all information provided on or via this Platform (including but not limited to all texts, graphics, photos, illustrations, apps and logos). You shall not copy, download, publish, distribute or reproduce any of the information contained on this Platform or social media in any form without the prior written consent of Casantro and/or HID. You have no rights in or to the information, and you will not use the information except as permitted under this Agreement. Further, our Intellectual Property may not be used in connection with any product or service without our prior written consent.

5.2 The Platform, text, graphics, user interfaces, visual interfaces, sounds, artwork, designs, and computer code on the Platform is owned and controlled by HID and/or Casantro and the design, structure, selection, coordination, expression, look and feel and arrangement on the Platform is protected by applicable copyright, patent and trademark laws, and other intellectual property rights

5.3 You agree to not use any framing techniques to enclose any trademark or logo or other proprietary information belonging to us; or remove, conceal or obliterate any copyright or other proprietary notice or source identifier, including without limitation, the size, colour, location or style of any proprietary mark (s). Any infringement shall lead to appropriate legal proceedings against you at an appropriate forum for seeking all available/possible remedies under applicable laws of the country of violation.

5.4 You shall not sell, transfer, assign, license, sublicense, or modify the information or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the information on the Platform in any way for any public or commercial purpose. The use or posting of our information on any other platform or in a networked computer environment for any purpose is expressly prohibited. 

5.5 By using the Platform and/or Services, Users will not acquire any right, title or interest in or to the Intellectual Property Rights except for the limited right to use the Platform and/or Services granted to Users pursuant to the Terms of Use. All goodwill generated from the use of the Platform, Content and/or Services will inure to Casantro’s exclusive benefit.

6. NO WARRANTIES

This Platform, the information and materials thereon, and any software made available on the Platform, are provided & and without any representation or warranty, express or implied, of any kind, including, but not limited to, warranties of merchantability, non-infringement, or fitness for any particular purpose. There is no warranty of any kind, express or implied, regarding third party content

You expressly understand and agree that, to the maximum extent permitted by applicable law and unless otherwise expressly specified, the Platform, products (including but not limited to software) and Services are provided by Casantro on an “as is” and “as available” basis without warranty of any kind, express, implied, statutory or otherwise, including the implied warranties of title, non-infringement, merchantability or fitness for a particular purpose, unless specifically provided otherwise.

7. REPORT IP INFRINGEMENT

If you believe the Platform or any products/services offered on or through the Platform violates your intellectual property, you must please promptly notify Casantro in writing at legal@casantro.com. Such notifications should only be submitted by the owner of the intellectual property or an agent authorized to act on his/her behalf. However, any false claim by you may result in the termination of your access to or use of the Platform or Services. You are required to provide the following details in the notice:

a. Your contact details, such as your address, telephone number, and/or email;

b. The intellectual property that you believe is being infringed;

c. The item that you think is infringing and include sufficient information about where the material is located on the Platform;

d. A statement that you believe in good faith that the item you have identified as infringing is not authorized by the intellectual property owner, its agent, or the law to be used in connection with the Platform; Your contact details, such as your address, telephone number, and/or email; aA statement that the information you provided in your notice is accurate, and that you are the intellectual property owner or an agent authorized to act on behalf of the intellectual property owner whose intellectual property is being infringed; and

e. Your physical or electronic signature.

8. THIRD PARTY RESOURCES

The Platform may contain links and/or information related to third party’s websites, products, services, information, advertisement or other materials (“Third Party Resources”). You hereby acknowledge and agree that the Third Party Resources do not constitute an endorsement or recommendation by HID and/or Casantro of such third parties. You acknowledge that the Third Party Resources provided to you is obtained from sources believed to be reliable, but that no guarantees are made by HID and/or Casantro as to its accuracy, completeness and/or timelines. Users also acknowledge and agree that Casantro has no control over, and assumes no responsibility or liability for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third Party Resources. In addition, Casantro will not and cannot monitor, verify, censor or edit the content of any Third Party Resources. Users expressly agree and acknowledge that HID and/or Casantro shall not be liable for any damages and/or losses resulting from the use of any Third Party Resources.

9. INDEMNIFICATION AND LIMITATION OF LIABILITY 

9.1 You agree to indemnify, defend and hold harmless Casantro and/or HID, its subsidiaries and affiliates from any claim, cost, expense, judgment or other loss relating to your use of this Platform and/or Services in any manner whatsoever, including without limitation any action you take which is in violation of these Terms of Use and/or any applicable law.

9.2 In no event shall Casantro, HID and/ or any of its subsidiaries be liable to any entity for any direct, indirect, special, consequential or other damages that are related to the use of, or the inability to use, the content, materials, and functions of this Platform or any linked website, even if Casantro and/or HID is expressly advised of the possibility of such damages.

 9.3 Any third-party websites and online services accessible by the Users through a hyperlink provided on the Platform (“External Sites”) have not been verified or reviewed by Casantro and/or HID and all use and access of External Sites is made at your own risk. We recommend perusing the terms of service and privacy policy of such third-party websites prior to accessing the same. The Company gives no other warranty in connection with the Service and to the maximum extent permitted by law, Casantro and/or HID excludes liability for:

a. any loss or damage of any kind howsoever arising, including any direct, indirect, special, punitive or consequential loss whether or not such arises out of any problem which the Casantro and/or HID has been made aware of;

b. the accuracy, currency or validity of information and material contained within the Platform and/ or the Services;

c. any interruptions to or delays in updating the Platform and/ or the Services;

d. any incorrect or inaccurate information on the website and/ or the Services;

e. the infringement by any person of any copyright or other intellectual property rights of any third party through use of the Platform and/ or the Service;

f. the availability, quality, content or nature of External Sites;

g. any transaction involving External Sites;

h. any amount or kind of loss or damage due to viruses or other malicious software that may infect a user's computer equipment, software, data or other property caused by persons accessing or using the Platform and/ or the Services; and

i. all representations, warranties, conditions and other terms and conditions which but for this notice would have an effect.

9.4 Casantro and/or HID will not be liable in any amount for failure to perform any obligation under these Terms of Use if such failure is caused by the occurrence of any unforeseen contingency beyond the reasonable control of Casantro and/or HID including internet outages, communications outages, fire, flood, war or act of God. You agree that in relation to your use of the Platform and/ or the Services, you will not in any way conduct yourself in a manner which is unlawful, or which gives rise to civil or criminal liability or which might call Casantro and/or HID or its Services into disrepute

10. TERMINATION 

10.1 You understand and agree that we may, at our sole discretion, immediately suspend and/or terminate your access to all or part of our Platform and/or Third Party Resources without prior notice and without showing any reason, if we suspect that you are responsible for any breach or violation of these Terms of Use or other incorporated agreements /guidelines or requests by law enforcement or other government agencies or in case of any unexpected technical issues or problems or any other reason, which in Casantro’s reasonable opinion, is good reason for such termination/ removal. Please note that if your access to the Platform and/ or the Services has been removed, restricted, canceled or suspended, we do not have an obligation to restore the same unless otherwise required under applicable law. Termination shall not affect any rights or remedies, which have accrued up to the time of termination. If you wish to terminate your account, you may simply discontinue using Service. If you believe your access has been terminated in error, you may contact us at grievanceofficer@casantro.com. 

11. LAWFUL AND/OR PROHIBITED USE

As a User of the Platform and/ or the Services, you shall not use the same for any purpose(s) that is unlawful or prohibited or otherwise objectionable in accordance with these Terms of Use. You shall not use the Platform and/ or the Services in any manner that could damage or impair the servers or otherwise interfere with any other party's use. You shall not attempt to gain unauthorized access to any section of the website, accounts, computer systems or networks connected to any of Casantro’s and/or HID servers.

12. SEVERABILITY

If any court or competent authority finds that any provision of these Terms of Use (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms of Use shall not be affected.

13. RELATIONSHIP BETWEEN THE PARTIES

Nothing contained in these Terms of Use shall be deemed to create a partnership, joint venture, agency, or any form of legal association between us and you. The relationship between the parties shall be on a principal-to-principal basis only. Neither party shall have any authority, whether expressed or implied, to create or assume any obligation on behalf of the other party, nor shall either party represent itself as a legal representative, partner, or agent of the other.

14. ANTI BRIBERY POLICY

Users shall not commit any act of bribery or corruption, including directly or indirectly give, make, offer or receive or agree to make any payments, contributions, gifts, entertainment or other advantages for the purpose of obtaining or retaining business which a reasonable person would consider to be unethical, illegal or improper, or which is in violation of any anti-bribery or anti-corruption laws and regulations. A violation of this provision will result in immediate termination of your access to or use of the Platform and/or Services.

15. FEEDBACK

15.1 We welcome any and all kinds of feedback towards our Platform and/ or Services. You may share your feedback by writing to us at the below-mentioned email address. Any feedback you may provide shall be deemed to be non-confidential. The Platform shall be free to use such information on an unrestricted basis. Further, by submitting the feedback, you represent and warrant that (i) your feedback does not contain confidential or proprietary information of you or of third parties; (ii) Casantro is not under any obligation of confidentiality, express or implied, with respect to the feedback; (iii) the Platform may have something similar to the feedback already under consideration or in development; and (iv) you are not entitled to any compensation or reimbursement of any kind from Casantro for the feedback under any circumstances, unless specified.

16. GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by the laws of India, without giving effect to its conflict of laws provisions. You agree that the appropriate court(s) at Bengaluru-Karnataka, India, will have the exclusive jurisdiction to resolve all disputes arising under these Terms of Use and you hereby consent to personal jurisdiction in the same court.

17. ENTIRE AGREEMENT These Terms of Use read along with our Policies and any other legal document as may be required by Casantro constitute the entire agreement between Casantro and you in relation to your use of Platform and/or Services, and supersede all prior agreements and understandings.
